Non-Disclosure Agreement (NDA) for Technical Data Download

This Non-Disclosure Agreement ("Agreement") is made and entered into as of [Date], between [Your Company Name] ("Disclosing Party") and the recipient ("Receiving Party") for the purpose of protecting confidential data.

Confidential Data:
a. "Confidential Data" refers to any non-public data, information, or materials disclosed by the Disclosing Party to the Receiving Party, including but not limited to datasets, reports, analyses, and any other proprietary data.
b. The Receiving Party agrees to maintain the Confidential Data in strict confidence and to use it solely for the purpose of initial review.

Non-Disclosure Obligations:
a. The Receiving Party shall not disclose, reveal, or make accessible the Confidential Data to any third party without the prior written consent of the Disclosing Party.
b. The Receiving Party shall take all necessary measures to prevent unauthorized access, use, or disclosure of the Confidential Data and shall exercise at least the same degree of care to protect such data as it would for its own confidential information of a similar nature.

Limitations on Use:
a. The Receiving Party shall use the Confidential Data solely for the purpose of initial review and shall not use it for any other purpose without the express written consent of the Disclosing Party.
b. The Receiving Party shall not copy, reproduce, modify, reverse engineer, or create derivative works based on the Confidential Data without the express written consent of the Disclosing Party.

Return or Destruction of Data:
a. Upon the Disclosing Party's request or termination of the data use agreement, the Receiving Party shall promptly return or, at the option of the Disclosing Party, destroy all copies of the Confidential Data and any materials derived from it.
b. The Receiving Party shall provide written confirmation of the destruction or return of the Confidential Data upon request.

Duration of Agreement:
This Agreement shall remain in effect for 3 years from the effective date unless terminated earlier in writing by the Disclosing Party.

Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of republic of Korea. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of republic of Korea.
